Primary Purpose:
The Senior Counsel will function in a senior lead transactional attorney capacity across the Company’s operations in China and Southeast Asia. The Senior Counsel understands the Electric and Oil/Gas marketplace for the provision of engineering, procurement and construction (EPC) services and project development with both potential owners and joint venture partners for the Company’s business pursuits. The Senior Counsel will work closely with business line leaders to develop and apply advanced legal solutions to complex problems while also serving functional business units and providing legal specialty support. The Senior Counsel will: (i) assist in providing guidance and direction to other Company attorneys in the APAC region, as well as to commercial managers of the Company’s business units; and (ii) work closely with regional business line leaders to prepare a variety of complex legal deliverables for larger and multiple projects. Senior Counsel needs the ability to perform complex legal research and develop legal recommendations for management review as well as manage the collection, assimilation, and management of data.

Principal Duties and Responsibilities:
The roles for this position include the following responsibilities:
• Proactively provides guidance and direction on division legal guides, standards, systems, and Company policies. Leads team in developing, maintaining and updating legal standards.
• Conducts reviews of complex contracts and related documents. Renders legal assistance and counsel to senior project directors in connection with business transactions, such as project proposals, joint venture arrangements, and other division-related documents. Handles negotiations as necessary to ensure the business interests and objectives of the Company are clearly identified, adequately protected, and the risk of loss or liability is minimized.
• Responsible for assisting with identification of key client legal interests and legal drivers on projects. Communicates client legal interests and legal drivers to team members and develops approaches to accommodate these concerns. Typically provides support to business development or pursuit activities.
• Attends settlement conferences/mediations as directed.
• Approves payment of legal invoices for assigned matters as directed.
• As a senior-level legal specialist, has additional expertise in a technical area, participates in professional societies by presenting papers, participates on committees, and assists with code/standard production. Actively shares knowledge with others, both within and outside division.
• Typically supports multiple projects on very complex legal challenges. May lead small project teams on domestic or international projects.
• May train lower level attorneys and may provide the development and delivery of Company-wide training.
• Works with Company Compliance Director on compliance training activities for the APAC Region.
• Arrange training and seminars on legal and related issues to the APAC Region for Energy Business Line.
• Assist with legal and contractual aspects of risk review meetings such as regional proposal review board (PRB) meetings, Energy sector PRBs, Executive Review Boards (ERBs) as required and other specific review meetings.
• Arrange country-specific legal advice.

Minimum Qualifications:
• Fifteen plus (15+) years transactional experience with a significant portion of the applicant’s experience in the EPC Electric, and Oil/Gas industries preferred.
• A law degree required. Licensed to practice law in at least 1 jurisdiction.
