To ensure compliance of the Companies Act, 2013. As per the Act, a company having paid up capital of more than 5 Cr (USD 99k approx) needs to have a qualified company secretary, who is a member of the Institute of Company Secretaries of India (ICSI).
Principal Duties and Responsibilities:
1. Preparing Board/EGM/AGM Notices, Director Report, Resolutions & minutes of AGM, EGM, BM etc. 2. Conducting Board Meeting, Extra-Ordinary General Meeting, Annual General Meetings. 3. Maintenance of all statutory Records and Statutory Registers as required under the provisions of Companies Act, 2013. 4. Yearly Directors Compliance such as Directors Disclosure etc. 5. Ensuring Corporate Governance under the Companies Act, 2013 and Rules thereunder. 6. Taking Care of Complete ROC /MCA Filings. 7. Managerial Remuneration. 8. Liaising with Registrar of Companies Office/ MCA as required. 9. Liaising with PCS/Practicing Chartered Accountants/ Auditors. 10. Any other work in connection with the above. 11. To review contracts like NDA, Leave and License Agreements, Lease Agreements, Service Agreements, Power of Attorney etc. 12. Support Legal in review of tender documents and conducting the risk review. 13. Support Legal in other legal documentation as may be required. 14. To support Legal generally in connection with the above.
Minimum Qualifications:
5 years in Secretarial Dept.
Preferred Job Qualifications:
Qualified CS (member of ICSI), BGL or LLB.
